WE ARE SEEKING A PARALEGAL WITH 3+ YEARS OF EXPERIENCE IN TRANSACTIONAL LAW, FOCUSED ON MERGERS & ACQUISITIONS AND CORPORATE GOVERNANCE. THE CANDIDATE MUST ALSO HAVE EXPERIENCE IN COMMERCIAL REAL ESTATE.

THE ROLE
This is a critical role that supports our healthcare transaction, focused heavily on dentistry, optometry, veterinary medicine, medical aesthetics and medspas, and wellness practices, amongst other areas of medical specialty. You will be assisting with healthcare transactions, including mergers and acquisitions (M&A), corporate governance, employment and contract law, as well as conducting deep regulatory research, maintaining a database base of state-specific guidelines, and drafting both internal and client-facing memos in support of your research. You’ll work directly with other attorneys in the firm, as well as clients, using a combination of primary and secondary sources.
THE PERSON
You’re highly organized, resourceful, and passionate about transactional and/or regulatory law. You thrive in a fast-paced environment with a start-up atmosphere. You enjoy working independently, but take feedback constructively and are comfortable collaborating with attorneys.
This is not a 9-5 role. While we respect and aim to protect personal time, the nature of our business frequently requires after-hours work and communication with clients and teammates. Candidate must be comfortable with these demands.
ACCOUNTABILITY
1. Transactional Support Duties
· Mergers and Acquisitions (M&A) and corporate structuring (including Management Service Organizations) – Duties include:
o Gathering due diligence
o Maintaining databases and data rooms of documents and pertinent information
o Contract review and drafting
o Corporate governance, including forming legal entities across a multitude of jurisdictions
o Maintaining closing checklists
o Researching pertinent regulations
o Frequent communication with clients, opposing counsel, brokers, lenders and other third-parties
· Employment and Contract Matters – Duties include:
o Maintaining pertinent documentation
o Contract review and light drafting
o Researching pertinent regulations
o Communicating with clients, opposing counsel and other third-parties
2. Compliance Support Duties:
· Conduct research and draft summaries on topics such as:
o Fee-splitting
o Corporate Practice of Medicine (CPOM)
o Scope of practice
o Medical director requirements
o Delegation and collaboration protocols
o Management Services Organization (MSO) protocols and structuring
o Monitor board and regulatory websites for updates
o Help manage our internal compliance content library (memos, state trackers, etc.)
3. General Responsibilities:
o Respond promptly to internal messages and requests (same day responses)
o Maintain accurate research records and citations (everything must have a citation)
o Drafting various agreements and contracts related to compliance
o Follow all SOPs for naming conventions, time tracking, and knowledge base contributions within our practice management system, Clio.
SKILLS
- Strong legal research and writing
- Experience with running logistics in transactions
- Familiarity with regulatory frameworks in healthcare
- Exceptional writing and drafting
- Self-starter who meets deadlines
- Familiarity with AI and AI-assisted workflows
- Highly organized and detail-oriented
- Comfortable in a startup or non-traditional law firm setting (again, not a 9-5)
EXPERIENCE
- 3+ YEARS MINIMUM of transactional experience
- 3+ YEARS MINIMUM of experience drafting and negotiating contracts
- 3+ YEARS MINIMUM of legal research
- Experience with commercial real estate
- Experience in healthcare is a plus
COMPENSATION
$70K – 80K (commensurate with experience)
