Responsibilities:
- Advising clients on healthcare regulatory and transactional matters, including mergers, acquisitions, affiliations, joint ventures, and strategic partnerships
- Serving as outside general counsel to healthcare organizations, providing strategic legal guidance across operational and transactional matters
- Structuring, drafting, and negotiating a wide range of agreements, including vendor contracts, SaaS agreements, and business associate agreements
- Advising on healthcare regulatory compliance matters, including HIPAA privacy and security requirements
- Supporting healthcare transactions through regulatory guidance, due diligence, and risk management
- Advising nonprofit and tax-exempt organizations on governance, structuring, and compliance matters
- Working collaboratively with partners and clients to deliver practical, business-oriented legal solutions
Candidate Requirements:
- Minimum 6+ years of significant experience practicing healthcare and business transactions within a law firm
- Strong experience with healthcare transactions and complex contract negotiation
- Demonstrated ability to act as a strategic advisor or outside general counsel to clients
- Familiarity with healthcare regulatory frameworks affecting providers and healthcare technology companies
- Ability to manage matters independently with appropriate partner collaboration
- Strong drafting, analytical, negotiation, and communication skills
Certifications:
- Active admission to the Illinois bar
