BettingJobs is working with a rapid growth B2B supplier and games studio who specialize in high quality design. Seeking to expand their remote based team in Sweden with the addition of a Head of Legal.
Responsibilities:
- Develop and implement the global legal strategy aligned with business goals.
- Advise the board, executives, and management on corporate governance, risk management, and regulatory compliance.
- Ensure compliance with Swedish Nasdaq listing requirements, securities laws, MAR, AML, GDPR, and gaming license obligations across multiple jurisdictions.
- Oversee licensing processes, including applications, renewals, maintenance, and relationships with regulatory authorities.
- Provide legal support on capital raising activities, including equity, debt, and private placements.
- Lead legal aspects of M&A, joint ventures, and corporate restructuring, drafting and negotiating transaction documents.
- Manage disputes, litigation, and arbitration, working with external counsel as needed to resolve complex matters.
- Draft, review, and negotiate contracts with partners, clients, and suppliers, ensuring alignment with legal, financial, and business objectives.
- Manage board and shareholder meeting documentation, maintaining high corporate governance standards.
- Proactively identify, assess, and mitigate legal, regulatory, and reputational risks, and establish frameworks for ongoing compliance.
- Build and lead the internal legal team and manage external legal counsel relationships.
Requirements:
- LL.M. or JD from an accredited law school; Swedish or EU legal qualifications preferred.
- Minimum 10 years of legal experience, with 5+ years in a senior legal role.
- Experience in the gambling, gaming, or technology sector is highly desirable.
- Strong understanding of Swedish Nasdaq rules, Swedish Companies Registration Office (Bolagsverket) rules, Market Abuse Regulation (MAR), Anti-Money Laundering (AML), General Data Protection Regulation (GDPR), capital raising, and M&A transactions.
- Expertise in regulatory compliance, corporate governance, gaming license application, litigation, and commercial law.
